Advise prominent winemaker and family on acquisition and development of Sonoma County winery and subsequent sale of 50% interest in winery to private equity investors with continuing senior role of founding winemaker.
Structured asset purchase agreement and ABC licensing for purchase and long-term lease of existing restaurant premise and prepared formation and investment-related documents. Advised on and documented leasing, ABC and City permitting, management entity creation and investment materials for new restaurant venture for same group.
Act as general outside counsel on equity investments, dispute resolution, licensing and mediation of disputes for company importing and producing various grapeseed oil products.
